Mauvisoft S.L. – Kanban+ Terms and Conditions (2026)

Effective date: 1 January 2026

1. Identification of the Website Owner

In accordance with Spanish legislation on Information Society Services and Electronic Commerce, the following details identify the owner of the Website:

2. Definitions and Interpretation

For the purposes of these Terms and Conditions (“Terms”), the following definitions apply:

  • “Platform” means the Kanban+ digital platform, including Kanban+ Essentials™, FlowBoards™, FlowMetrics™, and Evolve™.
  • “Customer” means any natural person or legal entity that accesses or uses the Website or the Platform.
  • “Products” means the software applications, digital tools, and related content made available through the Platform.
  • “Third‑Party Services” means services provided by third parties and integrated into the Platform, including (without limitation) Mighty Networks, Sharely.ai, Shopify, Zapier, and Google Analytics.
  • “SaaS Model” means a software licensing and delivery model in which software is hosted by Mauvisoft and accessed remotely via the internet.
  • “Term” means the duration of the subscription purchased by the Customer.

3. Scope of Licence

Mauvisoft grants the Customer a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Platform and Products solely for the Customer’s internal business or personal purposes, in accordance with these Terms and the applicable subscription plan.

The Products are provided under a SaaS Model and are licensed, not sold.

Mauvisoft may update or modify the Platform, including for security or compliance reasons. Reasonable notice will be provided where required by law.

4. Product Description

The Platform provides subscription‑based management tooling and related digital services, which may be integrated with training and professional services offered by Kanban University.

Access requires an internet connection, a supported web browser, and a valid user account. Customers may manage or cancel their subscription via their account settings.

5. Restrictions on Use

The Customer shall not, directly or indirectly:

  • copy, reproduce, distribute, resell, sublicense, or commercially exploit the Products;
  • reverse engineer, decompile, or attempt to derive source code;
  • make the Products available to third parties except as expressly permitted;
  • use the Products in a manner that infringes intellectual property rights or applicable law.

6. Ownership and Intellectual Property

All intellectual property rights in the Platform, Products, Website, and related materials are owned by Mauvisoft or its licensors.

Customer‑provided data remains the property of the Customer. Mauvisoft processes such data solely to provide the Products, in accordance with the Privacy Policy.

7. AI‑Enabled Features (Evolve™ and Related Tools)

Certain Products may include AI‑enabled features provided directly by Mauvisoft or via Third‑Party Services.

  • Customer data is not used to train AI models unless expressly agreed in writing.
  • AI‑generated outputs are provided for informational and analytical purposes only and do not constitute professional advice or guarantees.
  • The Customer remains solely responsible for decisions made based on AI‑generated outputs.

8. Term and Termination

The licence is granted for the duration of the applicable subscription Term, subject to payment of all fees.

Mauvisoft may suspend or terminate access where the Customer materially breaches these Terms.

9. Subscriptions, Trials, and Withdrawal Rights

Customers may cancel paid subscriptions within fourteen (14) days of purchase, unless digital performance has begun with the Customer’s express consent and acknowledgement of withdrawal loss, in accordance with EU consumer law.

Free trials automatically convert to paid subscriptions unless cancelled before trial expiry.

10. Data Retention

Upon subscription cancellation or trial expiry, Customer data will be deleted or anonymised within a reasonable period, unless retention is required by law.

11. Privacy and Cookies

Personal data processing is governed by the Privacy Policy. Use of cookies is governed by the Cookies Policy, both available on the Website.

12. Disclaimer and Limitation of Liability

The Platform is provided “as is”. To the maximum extent permitted by law, Mauvisoft excludes liability for indirect or consequential damages.

Nothing in these Terms limits liability for fraud, wilful misconduct, or liability that cannot be excluded under mandatory law.

13. Changes to the Terms

Mauvisoft may amend these Terms by publishing updated versions on the Website. Continued use of the Platform constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

For consumers, disputes shall be subject to the courts of the consumer’s domicile.

For business customers, Spanish law applies and the courts of Bilbao shall have exclusive jurisdiction.
